1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the websites, products, and services provided by Artificial Populations ("we", "us", or "our") operating from Quebec, Canada (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility and Accounts

  • You must be at least 16 years old to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • We may refuse service, close accounts, or change eligibility requirements at any time, to the extent permitted by law.

3. The Service; Changes

The Service provides AI-enabled functionality for Artificial research tools including focus groups, surveys, and interviews. Features and availability may change from time to time. We may add or remove features, suspend or discontinue the Service (in whole or part), or impose limits on usage, each at our discretion and without liability, to the extent permitted by law.

Beta, preview, or experimental features are provided "as is" with reduced or different support and are subject to change or termination at any time.

4. AI Outputs; No Reliance; Assumption of Risk

  • Outputs generated by the Service from Artificial Participants are probabilistic, experimental, and may contain errors, omissions, bias, or hallucinations.
  • We do not represent or warrant that outputs reflect real human behavior, public opinion, psychology, or market outcomes.
  • You are solely responsible for evaluating and independently verifying outputs before relying on or using them.
  • You must not present outputs as data collected from real human participants or as factual assertions without independent validation.
  • High‑risk use (including medical, diagnostic, financial, legal, safety‑critical, or compliance determinations) requires independent professional review and remains at your sole risk.

5. Acceptable Use and Restrictions

  • No reverse engineering, decompiling, model extraction, or attempts to derive source code, datasets, weights, or architecture.
  • No scraping, bulk exporting, automated querying beyond permitted rates, or interference with the Service’s normal operation.
  • No benchmarking, auditing, or competitive analysis for the purpose of developing competing models or services without our prior written consent.
  • No dataset reconstruction, identity inference, or attempts to re-identify any real person from outputs.
  • No use that violates law, infringes rights, or generates content that is unlawful, harmful, deceptive, or misleading.
  • No representation of outputs as human-sourced data; you must disclose that participants are Artificial Participants where relevant.
  • No use of the Service where prohibited, or to process regulated data without appropriate safeguards and independent verification.

6. Intellectual Property; Inputs and Outputs

We and our licensors own all rights, title, and interest in and to the Service, including software, models, model parameters, prompts, structures, designs, documentation, and all improvements and derivative works. Except for the limited rights expressly granted in these Terms, no license is granted and all rights are reserved.

  • User Inputs: You retain ownership of inputs you submit to the Service. You grant us a worldwide, royalty‑free license to use your inputs to operate, secure, and improve the Service, including through aggregated, anonymized, or de‑identified analysis and model improvement, in accordance with applicable law.
  • Outputs: Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable, non‑sublicensable license to use outputs for your internal business purposes. Except with our written permission, you may not resell, redistribute, or sublicense outputs, or use outputs to create competing services.
  • Feedback: If you provide feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction.

7. Payment, Billing, and Taxes

  • Fees are billed in advance and are non‑refundable except where required by law or as expressly stated by us.
  • We may change pricing and billing terms from time to time. Where required by law, we will provide notice; otherwise, changes may take effect upon posting.
  • Late or failed payments may result in suspension or termination of access. You are responsible for all applicable taxes, duties, and charges.

8. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our privacy practices, including transfers outside Quebec/Canada as described therein.

9. Suspension and Termination

We may suspend or terminate access immediately, with or without notice, for any violation of these Terms, suspected misuse, risk to the Service, non‑payment, legal or compliance requirements, or to protect users or the public.

Upon termination, your right to use the Service ceases immediately and we have no obligation to refund fees (except where required by law). Sections that by their nature should survive (including ownership, disclaimers, limits of liability, indemnities, and dispute terms) will survive termination.

10. Indemnification

To the maximum extent permitted by law, you will indemnify, defend, and hold harmless Artificial Populations and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service or outputs; (b) your inputs, content, or data; (c) your violation of these Terms or applicable law; or (d) your misuse of outputs, including reliance without independent verification.

11. Disclaimers

THE SERVICE, INCLUDING ALL FEATURES AND OUTPUTS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF ACCURACY, RELIABILITY, NON‑INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR QUIET ENJOYMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE, OR THAT DEFECTS WILL BE CORRECTED. YOU ASSUME ALL RISK FOR RESULTS OBTAINED FROM THE SERVICE AND OUTPUTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ARTIFICIAL POPULATIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE LESSER OF: (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED (100) CANADIAN DOLLARS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THESE LIMITS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Third‑Party Services

We may integrate with or link to third‑party services. We are not responsible for third‑party content, terms, or policies. Your use of third‑party services is at your sole risk and governed by their terms.

14. Governing Law; Dispute Resolution

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to the exclusive jurisdiction and venue of the courts located in Quebec, Canada (judicial district of Montreal), except where applicable law provides otherwise.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE THE RIGHT TO PARTICIPATE IN CLASS OR REPRESENTATIVE ACTIONS, ARBITRATIONS, OR PROCEEDINGS. IF SUCH WAIVER IS UNENFORCEABLE IN YOUR JURISDICTION, THIS SENTENCE WILL NOT APPLY TO YOU.

15. Changes to These Terms

We may modify these Terms from time to time. Where required by law, we will provide notice of material changes. Otherwise, changes may be effective upon posting. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Severability: If any provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect.
  • Assignment: You may not assign these Terms without our consent; we may assign without restriction.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
  • Entire Agreement: These Terms and any policies referenced (including the Privacy Policy) are the entire agreement between you and us regarding the Service.
